1. Parties
These Terms are entered into between:
- You, the individual user of the Platform (“you”, “your” or “User”); and
- ActivEdge Solutions Pte. Ltd. (UEN 202107711M), operating as YuBeFit (“YuBeFit”, “we”, “us” or “our”).
These Terms supersede and replace any prior agreements relating to your use of the YuBeFit platform.
2. Platform description
YuBeFit provides a digital wellness and fitness platform that enables group-based challenges, progress tracking, community engagement and related informational wellness features (the “Platform”).
The Platform is intended for general wellness and informational purposes only and is not a medical service.
3. Eligibility and user responsibilities
3.1 Eligibility
By using the Platform, you confirm that:
- You are at least 16 years old or have valid parental or guardian consent
- You have the legal capacity to enter into these Terms
- You have not previously been suspended or removed from the Platform
3.2 Health disclaimer
The Platform provides information only and does not constitute medical advice. You are responsible for determining whether any activity is appropriate for you.
If you have a medical condition, are pregnant or have health concerns, consult a qualified healthcare professional before engaging in activity suggested on the Platform.
4. User accounts
Certain features require a user account. You are responsible for maintaining the confidentiality of your credentials and for all activity conducted under your account.
YuBeFit may suspend or terminate an account that violates these Terms or applicable law.
5. Purchases and licensed digital features
5.1 Platform purchases
Digital features purchased through the iOS application are processed using Apple’s In-App Purchase system. Digital features purchased through the Android application are processed using Google Play Billing where required by Google Play’s policies.
Apple, Google or the applicable payment provider processes payment credentials, billing, cancellations and refunds under its own terms and policies. YuBeFit does not receive or store complete payment-card numbers.
5.2 Purchase information
YuBeFit may receive transaction identifiers, purchase status, product details and entitlement information needed to confirm and provide purchased features.
5.3 Licence
A purchase grants you a limited, personal, non-exclusive, non-transferable and revocable licence to access the relevant feature, subject to these Terms. No ownership rights are transferred.
5.4 One-time purchases and promotions
YuBeFit currently offers eligible group member-limit features as one-time purchases, not auto-renewing subscriptions. Prices and the feature provided will be displayed before purchase. Any platform offer codes or promotions are subject to the applicable platform’s eligibility and redemption rules.
5.5 Refunds
Refund requests are handled according to the rules of the platform or payment provider through which the purchase was completed, without affecting any mandatory rights available under applicable law.
6. Acceptable use
You agree not to:
- Use the Platform for unlawful purposes
- Interfere with the Platform or other users
- Upload malicious code
- Attempt unauthorised access
- Harass, abuse or exploit other users
7. Intellectual property
All intellectual property rights in the Platform, including software, content, trademarks and logos, are owned by YuBeFit or its licensors. Except for the limited licences expressly granted, no rights are transferred to you.
8. User content
You retain ownership of content you submit to the Platform. You grant YuBeFit a limited, worldwide, non-exclusive, royalty-free licence to host, store, reproduce and display that content solely as reasonably necessary to operate, provide and improve the Platform. This licence lasts only for as long as needed for those purposes, subject to reasonable backup, legal, safety and record-keeping requirements.
You are responsible for ensuring that you have the rights needed to submit your content and that it does not violate applicable law or another person’s rights.
9. Third-party services
The Platform may integrate third-party services, including YouTube. Your use of those services is governed by their respective terms. YuBeFit is not responsible for independent third-party content or services.
10. Disclaimer and limitation of liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including applicable statutory consumer rights. Subject to the foregoing, YuBeFit’s aggregate liability is limited to the greater of SGD 100 or the fees paid by you to YuBeFit during the preceding 12 months.
The Platform is provided “as is” and “as available”. To the maximum extent permitted by law and subject to the paragraph above:
- YuBeFit excludes warranties or conditions that may lawfully be excluded
- YuBeFit is not liable for indirect, incidental or consequential loss that was not reasonably foreseeable
11. Indemnification
To the extent permitted by law, you agree to indemnify YuBeFit against third-party claims, losses and reasonable costs caused by your unlawful use of the Platform, your material breach of these Terms or content you submit that infringes another person’s rights.
12. Changes to the Platform and Terms
YuBeFit may modify the Platform or these Terms. For material changes to these Terms, we will provide reasonable notice through the website, the app, email or another suitable channel before the change takes effect. We may make an immediate change where required by law or reasonably necessary to address an urgent security, safety or operational issue, and will provide notice as soon as reasonably practicable.
The “Last updated” date identifies the latest version. Your continued use of the Platform after an updated version takes effect constitutes acceptance of the updated Terms.
13. Apple-required notice
These Terms are between you and ActivEdge Solutions Pte. Ltd., not Apple Inc. Apple:
- Is not responsible for the Platform or its content
- Has no obligation to provide maintenance or support
- Is not responsible for claims relating to the app
Apple is a third-party beneficiary of these Terms and may enforce them against you.
14. Governing law
These Terms are governed by the laws of Singapore. The courts of Singapore have exclusive jurisdiction.
